Notarise Articles and Capital Confirmation
GmbH formation requires a notarial deed: founders sign articles before a German notary. Pay-in at least EUR 12,500 of the EUR 25,000 minimum capital before registration. UG (Mini-GmbH) is an alternative from EUR 1.
Open Corporate Bank Account
Open a Geschäftskonto with a German bank (Deutsche Bank, Commerzbank, Sparkasse) or fintech (N26 Business, Holvi, Qonto). Required to deposit share capital before registration.
Apply for Residence Permit for Non-EU Staff
Non-EU employees need a residence permit (e.g., EU Blue Card, ICT Card, Section 18 employment). Employer must pre-register the position with the Federal Employment Agency for labour market test.
Apply for Sector Licences
Banking and financial services (BaFin), insurance (BaFin), payment institutions, food (Veterinaramt), construction (Handwerkskammer), and gambling require sector authorisation. IHK or HWK chamber membership is mandatory for most trades.
Register with Gewerbeamt
Apply for a Gewerbeschein (business registration) at the local Gewerbeamt within days of operations starting. Required even for GmbH unless the activity is freelance (Freiberufler).
Register Employer with Berufsgenossenschaft
Register with the relevant Berufsgenossenschaft (statutory accident insurance) within 1 week of hiring the first employee. Premiums are sector-based and paid annually in arrears.
Register Employees with Sozialversicherung
Register each employee with their chosen Krankenkasse (statutory health insurer) which administers pension, unemployment, long-term care, and health insurance contributions (~20% employer + 20% employee).
Transparency Register (Transparenzregister)
Submit beneficial owner data to the Transparenzregister within 14 days of incorporation and update on any change. Mandatory since 2017 under German Money Laundering Act (GwG).
Monthly VAT Pre-Return (Umsatzsteuer-Voranmeldung)
Submit VAT pre-return via ELSTER and pay net VAT by the 10th of the following month (extension by 1 month with Dauerfristverlangerung). Standard rate 19%; reduced 7%.
Monthly Payroll and Lohnsteuer
Withhold and remit Lohnsteuer (wage tax) and social security contributions monthly via DEUEV reporting and ELSTER. Combined burden ~40% of gross wages on top of net pay.
Quarterly Corporate Tax Prepayments
Pay quarterly corporate income tax (KSt) and trade tax (Gewerbesteuer) prepayments by the 10th of March, June, September, and December based on Finanzamt assessment.
Annual Corporate Tax Returns
File annual KSt (corporate income tax 15% + 5.5% solidarity surcharge), GewSt (trade tax ~14-17%, varies by municipality), and VAT returns with Finanzamt. Deadline 31 July following year (extended with tax advisor).
Publish Annual Financial Statements
All GmbHs and AGs must file financial statements with the Bundesanzeiger within 12 months of financial year-end (small companies file abridged accounts). Failure triggers Bundesamt fur Justiz penalties.
Audit (statutory thresholds)
Statutory audit is mandatory once the GmbH exceeds 2 of 3 thresholds: balance sheet total EUR 7.5 million, revenue EUR 15 million, average 50 employees. Review obligation annually.
